Terms and Conditions for Website Development and Use
This Agreement is entered into between:
Graphico (Pty) LTD ("Developer"), a company duly registered under the laws of [Your Jurisdiction], and
Sozo Foundation ("Client" or "NGO"), a non-governmental organization.

1. Ownership
1.1 The website developed by Graphico (Pty) LTD ("the Website") shall remain the sole intellectual property and exclusive ownership of Graphico (Pty) LTD.
1.2 No transfer or assignment of ownership rights, including copyright, trademarks, or any proprietary rights to the Client, is granted under this Agreement.
2. License to Use
2.1 Graphico (Pty) LTD grants Sozo Foundation a non-exclusive, non-transferable, revocable license to use the Website solely for the purpose of assisting in the Client’s internal workflow and NGO operations.
2.2 The Client agrees to use the Website strictly in compliance with all applicable laws and solely for its intended purpose.
3. Restrictions
3.1 The Client shall not:
Copy, modify, reproduce, republish, distribute, or create derivative works from the Website. Sell, sublicense, lease, rent, or otherwise transfer any rights to the Website. Attempt to reverse engineer, disassemble, or decompile any part of the Website.
4. Maintenance and Support
4.1 Any maintenance, updates, or additional development costs beyond the initial scope of work shall be subject to a separate agreement.
5. Liability and Indemnity
5.1 Graphico (Pty) LTD shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Website.
5.2 The Client agrees to indemnify and hold harmless Graphico (Pty) LTD from any claims, damages, or liabilities arising out of the Client’s use of the Website contrary to this Agreement.
6. Term and Termination
6.1 This Agreement shall remain in effect until terminated by either party with written notice.
6.2 Upon termination, the Client’s license to use the Website immediately ceases, and the Client shall discontinue all use of the Website.
7. Confidentiality
7.1 Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged in connection with this Agreement.
8. Governing Law
8.1 This Agreement shall be governed by and construed in accordance with the laws of South Africa.
9. Entire Agreement
9.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations or agreements, oral or written.

By using the Website and services provided, the Client acknowledges and agrees to these Terms and Conditions.
